End User License Agreement

This End User License Agreement (this "Agreement") is a contract between you and Uplink, a business operated by Noah Abrams ("Uplink", "we", "us"). It governs the Uplink software applications you install or use, including netmap and any other Uplink application (each an "Application"), together with our online services and their documentation and updates (the "Software").

Some terms apply only to a specific Application; those live in the per-Application Schedules at the end. By accepting, installing, or using the Software, you agree to this Agreement and to the Schedule for each Application you use.

01 Your license

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software for your own work, on the number of devices your plan allows, while your license or subscription is in good standing. Each Application is licensed separately; a license for one Application does not grant rights to another. The Software is licensed to you, not sold.

02 Plans, trials, demos, and betas

Free demo and trial modes are provided for evaluation. Their exports or output may carry a visible watermark; that watermark is part of the license and may not be removed or bypassed. Beta builds are pre-release software: they are provided for testing, may stop working, and may be less stable than release builds. Features and plan limits are enforced by license entitlements delivered from our license server; what a plan includes is described on that Application's pricing page (see its Schedule).

03 What you may not do

You may not, and may not help or allow anyone else to:

  • (a) copy (except reasonable backups), distribute, sell, rent, lease, sublicense, or host the Software for others;
  • (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent a law expressly permits it despite this limit;
  • (c) circumvent, disable, or tamper with license checks, activation, plan limits, export watermarks, or any other technical protection in the Software, or use a license key you are not authorized to use;
  • (d) modify the Software or create derivative works of it;
  • (e) remove or alter any proprietary notices in the Software; or
  • (f) use the Software to build a competing product, or publish benchmarks of the Software without our written permission.

Because a breach of this section would cause us harm that money alone cannot fix, we may seek injunctive or other equitable relief, in addition to any other remedy, without having to post a bond.

04 Your content and your data

The files, documents, equipment libraries, and other content you create with the Software are yours. They are stored locally on your computer unless you choose to publish or share them. You are responsible for backing up your own data. Details for each Application are in its Schedule.

05 Telemetry and privacy

The Software sends limited technical telemetry so we can fix bugs and improve the product: crash reports (an error trace, app version, platform, and install id; never your content). Some Applications also send optional data described in their Schedule, such as the gear definitions netmap builds for the community library (never your shows, IP schemes, or images). You can turn that off in Settings, Privacy. Feedback you send from an Application includes the context shown in the feedback dialog. Our full privacy policy is at uplink.show/privacy and is part of this Agreement.

06 Online services and accounts

Some features (activation, cloud services, publishing, update checks) depend on our online services. One Uplink account may hold licenses for several Applications. You are responsible for keeping your license keys and account credentials confidential. We may change, suspend, or retire online services; core offline features of a paid license will keep working during your paid term.

07 Updates

We may provide updates that change or remove features. Updates may be covered by a newer version of this Agreement; if so, the Software will show it to you and ask you to accept before continuing.

08 Ownership

The Software, including its design, code, user interface, and branding, is owned by us and is protected by copyright, trademark, trade secret, and other laws. We reserve all rights not expressly granted in this Agreement.

"Uplink", "netmap", and our other names, logos, and product names are our trademarks. This Agreement does not grant you any right to use them, except to truthfully identify the Software.

The Software includes third-party open-source components licensed under their own terms, listed in the THIRD-PARTY-LICENSES file distributed with the Software; those terms govern those components, and nothing here limits your rights under them.

09 Professional responsibility

The Software supports your professional work but does not replace your professional judgment. You are responsible for verifying the Software's output, and for testing its behavior, before you rely on it in a production environment. The Software is not a safety device and its output is not engineering advice. Applications that interact with or control live production systems carry additional responsibilities set out in their Schedule; read that Schedule before you use such an Application on a live rig.

10 Feedback

If you send us feedback, suggestions, or ideas about the Software, we may use them without restriction or obligation to you.

11 Termination

This Agreement is effective until it ends. It ends automatically if you breach it, and you may end it at any time by deleting the Software. When it ends, your license stops and you must stop using the Software. Sections 4 and 8 through 15 survive. Lapsed subscriptions fall back to the demo feature set rather than terminating this Agreement.

12 No warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THE SOFTWARE WILL BE ERROR FREE OR UNINTERRUPTED. SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.

13 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR SHOW DOWNTIME, ARISING FROM OR RELATED TO THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR 50 US DOLLARS IF YOU PAID NOTHING.

14 Governing law

This Agreement is governed by the laws of the State of Tennessee, USA, without regard to its conflict of law rules. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Tennessee, and you consent to their jurisdiction.

15 General

This Agreement (plus the privacy policy and the terms at uplink.show/terms), and the Schedule for each Application you use, is the entire agreement about the Software. If any part is found unenforceable, the rest stays in effect. Our not enforcing a provision is not a waiver. You may not assign this Agreement without our consent; we may assign it as part of a sale or reorganization.

Schedule N - netmap

This Schedule applies to netmap, the show-network paperwork application, and the netmap.show services. It adds to the general terms above.

N1. Your shows and data. The show files, paperwork, and equipment libraries you build in netmap are yours and are stored locally on your computer unless you publish or share them.

N2. Community equipment library. If enabled, the gear definitions you build sync to us so the community equipment library can grow, never your shows, IP schemes, or images. You can turn this off in Settings, Privacy. Nothing is published until you submit it, and every submission is reviewed by a person before it is published.

N3. Online features. Activation, cloud export, publish-to-web, and the community library depend on our online services.

N4. Your paperwork is your responsibility. netmap helps you produce network paperwork, but you are responsible for verifying every schedule, address, port map, label, weight, and power figure before you rely on it in a production environment. netmap is not a safety device and its output is not engineering advice.

N5. Pricing. What each netmap plan includes is described at netmap.show/pricing.

Schedule H - Haze Limiter (reserved)

This Schedule applies to Haze Limiter when it is released. It is published in advance for transparency and takes effect for you only if and when you install or use Haze Limiter.

H1. Live production control. Haze Limiter sends real lighting-control data (sACN) that affects haze and fog equipment on live production rigs. You are solely responsible for configuring its limits, testing its behavior on your rig before and during a show, and supervising the equipment while it runs.

H2. Not a safety system. Haze Limiter is not a life-safety or emergency system. Do not rely on it for smoke or fog clearance, egress, fire detection or suppression, or any safety-critical function. Always keep independent manual control of atmospheric equipment.
